These terms govern your use of Speriential. They form an agreement between the organisation named on the account and Speriential AI. If you are agreeing on behalf of an organisation, you are confirming you may bind it.
Speriential is sold to businesses. It is not offered to consumers.
1. What the service is
Speriential reads data you provide, applies the rules and permissions you configure, and returns answers with the evidence behind them. Where the evidence does not support an answer, it declines and says what is missing. That refusal is a designed outcome rather than a fault, and a workspace that receives one has not experienced an error.
The service includes the workspace, the API and the software development kit. Everything the workspace does goes through the same API your own code can call.
2. Your account
You are responsible for who holds a seat, for what they do with it, and for keeping API keys secret. Tell us promptly if a key is exposed and we will help you rotate it.
An administrator of your organisation may add and remove people, change permissions and close the account. We act on instructions from an administrator without seeking a second opinion, so choose them carefully.
3. Your data stays yours
You own the data you bring, and everything the platform derives from it. We claim no ownership of either, and we acquire no licence beyond what is needed to operate the service for you.
We process customer data only on your instructions, as described in our Privacy Policy, which forms part of these terms.
You are responsible for having the right to provide what you provide. That includes personal information about other people, recordings of interactions, and anything pulled from a system you connect. Recording and transcription in particular are regulated differently in different places, and consent is your obligation, not ours.
You may export your data at any time while your account is open.
4. What you may not do
Do not use the service to break the law, to infringe someone's rights, or to process data you have no right to hold.
Do not attempt to reach another customer's workspace, probe for weaknesses without our written agreement, or work around a limit rather than asking us to raise it.
Do not use the service to build a competing product, or to extract the platform's behaviour systematically in order to reproduce it.
Do not resell or provide the service to a third party unless we have agreed that in writing.
If you do any of these, we may suspend access. Where the circumstances allow it, we will tell you first.
5. Availability
We work to keep the service available and will tell you about planned maintenance in advance where we can. Unless your agreement includes a specific service level, the service is provided without an uptime commitment.
Some parts depend on providers outside our control, including the systems you connect. An outage at one of those is not a failure of ours, though we will say plainly when it is the cause.
6. Fees
Plans, included volumes and rates are those published on our pricing page or set out in your order. Metered usage is charged at the rates published in the product, and the product shows you what has been counted.
Fees are payable in advance unless your order says otherwise. Fees exclude taxes, which you pay in addition where they apply.
A trial started without a card is free and converts to nothing: when it ends, runs stop until you choose a plan, and your data remains readable. A trial started with a card for a paid plan is free for its trial days and then becomes that plan: the card is charged for the plan's first month or first year, as you chose, on the day the trial ends, unless you cancel before then from the Plan page, in which case nothing is charged. A paid plan renews for the same period until you cancel it, and cancelling takes effect at the end of the period already paid.
7. Term, suspension and ending it
These terms run while you have an account.
You may close your account at any time. Where you have paid in advance for a period, we do not refund the remainder unless your order says otherwise.
We may suspend access for non-payment, or where use breaks section 4, or where continuing would put other customers at risk. Suspension is not termination, and we will restore access once the cause is resolved.
Either of us may end the agreement for a material breach the other has not fixed within thirty days of being told about it.
When it ends, you can export your data for thirty days, after which we delete it, subject to the one exception in section 6 of the Privacy Policy concerning sealed originals under a retention lock.
8. Confidentiality
Each of us will protect the other's confidential information and use it only for this agreement. Your data is your confidential information. Our non-public technical and commercial material is ours.
Neither of us needs to protect information that is public, was already known, or is independently developed without reference to the other's.
9. Our intellectual property
We own the platform, its software, its models and its documentation, and nothing here transfers any of it to you. You may use it while you have an account.
If you tell us how to improve the product, we may act on that without owing you anything for it. That covers ideas and suggestions, not your data.
10. Warranties, and what we do not promise
We warrant that we will provide the service with reasonable skill and care, and that we will not materially reduce its core functions during a paid term.
We do not warrant that an answer is correct for your purpose. The platform shows the evidence behind every answer precisely so a person can check it. Decisions taken on the strength of an output are yours, and important ones deserve the same review you would give any other source.
Except as stated here, the service is provided as it is, and we disclaim other warranties to the extent the law allows.
11. Liability
Neither of us is liable to the other for indirect or consequential loss, or for lost profit, revenue or anticipated savings.
Each party's total liability under this agreement is limited to the fees paid or payable in the twelve months before the claim arose.
Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. These limits do not apply to your obligation to pay fees, or to either party's breach of section 8.
12. Indemnity
We will defend you against a claim that the service infringes a third party's intellectual property, and pay what a court finally awards, provided you tell us promptly and let us handle it.
You will do the same for us in respect of a claim arising from data you provided that you had no right to provide.
13. Changes to these terms
We may update these terms. If a change materially reduces your rights, we will tell account administrators at least thirty days in advance, and you may end the agreement before it takes effect without penalty.
14. General
Governing law. These terms are governed by the law stated in your order form. In the absence of one, the law of the State of Delaware, United States, and the courts there.
Assignment. Neither of us may assign this agreement without the other's consent, except to a successor of substantially the whole business.
Whole agreement. These terms, the Privacy Policy and your order form are the whole of what has been agreed, and replace anything said beforehand.
Severability. If a provision is unenforceable, the rest stands.
No waiver. Not enforcing a term once does not waive it.
